SAGE Business Cases
Summary This case involves a family business in the building and construction industry based in Málaga, Spain. The company was established in 2002 by three siblings with help from their parents. During the next nearly 20 years, with hard work and dedication, the business has grown into a group of businesses with yearly revenue of 66 million euros, as of 2020. Although the business started with the siblings having an equal number of shares, they respected the fact that each had different interests and commitments in life, and thus different rates of contribution and commitment to the business. The siblings had discussed this issue and had verbally agreed that they should redistribute the shares according to each individual's contribution and dedication to the business. The company started the process of professionalisation in 2019, which led the siblings to conclude that it was time to formally redistribute the shares according to each sibling's contribution to the business. Clear distribution of shares would help facilitate smooth working relationships for the siblings and for the next generation as they join the business when they become adults. To ensure all siblings had a clear understanding of the consequences of each decision and action they took, the siblings engaged the University of Malaga to design and implement a training course for them. Now that they had a better understanding of the situation, how should shares be distributed among the siblings?
