Greenko was founded by Anil Chalamalasetty and Mahesh Kolli in 2004 to commercialise the opportunities available in the renewable or clean energy sector in India. Greenko's intention was to become a leading owner and operator of clean energy projects, such as biomass, hydro and wind in India. Greenko Group plc was admitted to trade on the AIM (formerly Alternative Investment Market) of the London Stock Exchange in November 2007. In 2014, Greenko was one of the leading independent owners and operators of clean energy projects in India, and one of the largest operators of sub-100 MW hydropower projects in particular. The founders, Anil Kumar Chalamalasetty and Mahesh Kolli, held shares in Greenko through ACMK Enterprise Limited. As of March 31, 2014, ACMK held 14.37% of the shares of Greenko. ACMK also had further options in 5,100,000 ordinary shares which had been granted under its Long-Term Incentive Plan with a vesting period of three years from March 2011 and which were subject to a target of 500 MW of operational capacity being achieved at a suitable level of profitability. These shares would vest only once Greenko's share price reached certain price hurdles at the end of the vesting period. They must make a final call on the issue of $550 million 8% Senior Notes due in 2019. This was a major decision for a company with total assets of about USD 1 billion as on March 31, 2014 and profit for the year of USD 12.8 million. The Notes were to be offered and sold only to qualified institutional buyers (QIBs) in the US in accordance with Rule 144A under the Securities Act and outside the U.S. in offshore transactions in accordance with Regulation S under the Securities Act |
